History
Kaolin was established in 1924 in the town of Varna. It exploited deposits in the area around what is now the town of Kaolinovo. In 1936 another mining joint-stock company, ‘Dunav’, with head office in Ruse, started developing and exploiting deposits in Vetovo and Senovo. The two companies continued their activities till the end of 1947, when the mining of kaolin in Bulgaria was nationalized. Two state-owned companies were incorporated with head offices in Senovo, Ruse Region, and Kaolinovo, Varna Region. They merged into one - ‘Dimitar Blagoev’ State Mining Company (later called ‘Dimitar Blagoev’ Mining and Ore-treating company), which management was located in Senovo, Ruse region.
Before Ordinance 56 regulating economic activities entered into effect, Kaolin was part of several big state-owned economic groups, such as ‘Metallurgy and Mining’ State Group, ‘Nonferrous minerals’ State Group, ‘Nonferrous mineral resources’ State Group. Pursuant to Decree No.50/30.03.1989 of the Council of Ministers, the company was dissolved, and a new company with state property was incorporated – ‘Kaolin’, which took over all the assets and liabilities of the dissolved legal entity.
Pursuant to Ordinance ¹ 64 dated 11.05.1992 of the Council of Ministers, art.3, Attachment ¹32 and Attachment ¹23, in accordance with Art.1, par.1 of the Law for setting up sole proprietorships – commercial companies with state property, State Company ‘Kaolin’ was transformed into a sole proprietorship – joint-stock company with state property ‘Kaolin’ EAD, with head office in Senovo, Ruse Region, with a one-level system of management. The main activity of the company was the mining of sand and nonferrous raw materials. According to the performed reassessment, in the order provided by Ordinance ¹179 of 1991 of the Council of Ministers, as of 31.05.1992 the fixed tangible assets of the company were worth 67,205 denominated BGN, as it is stated in the court resolution of 01.04.1994.
With Resolution ¹ 72 of 28.03.2000 of Razgrad District Court, the name of the company was changed to ‘Kaolin’ AD, as a result of the privatization agreement of 10.01.2000, concluded between the Privatization Agency and ‘RMD Kaolin – 98’ AD for the sale of 425,404 Shares or 75% of the capital of ‘Kaolin’ EAD, and a meeting of the General Assembly of the shareholders in the Company was duly convened and held on 06.03.2000. With Resolution ¹ 665/17.02.2003 of Ruse District Court and pursuant to the Minutes and Resolution ¹ 9/13.03.2002 of the High Judicial Council, the Company was registered in the Commercial register at Ruse District Court because of the exclusion of Vetovo Municipality from the jurisdiction of Razgrad District Court, and its inclusion in the jurisdiction of Ruse District Court.
Important events in the development of Kaolin
In January 2001, Kaolin acquired the majority of shares – 75%, in ‘Magma – 97’ AD, Topolovgrad, in February 2003 –85.53% of the shares in ‘Ustrem 2001’ AD, and in March 2006, the rest of the shares – that is up to 100% of the shares in ‘Ustrem 2001’ AD.
“Magma – 97” AD is a company with main activity mining and processing of dolomite and feldspar. The company has concessions for deposits of feldspar raw material – Kanarata, Kanarata-west, Ustrem and Melnitsa /dolomite deposits/, and is in the process of obtaining concessions for a feldspar sand deposit Beloslav and Beloslav-north.
“Ustrem 2001” EAD is a company which owns a floatation plant and facilities for dry grinding of nonferrous raw materials which will be used for additional processing of the raw materials mined by ‘Magma – 97’ AD – feldspar and
dolomite. ‘Ustrem 2001’ AD is in the process of merging with Kaolin.
In November 2006, Kaolin acquired 91.67% of the capital of “Ogneuporni Glini” AD. The main activity of the company is mining and processing of fire clay, quartz sand and chalks for the needs of industrial production, agriculture, construction and cosmetics. Through Yugokaolin - 100% subsidiary company, incorporated in the Republic of Serbia in October 2003, Kaolin acquired also the assets and business of ‘Serboquartz’ – the biggest producer of quartz sand on the territory of former Yugoslavia – as well as control of Kopovi Company in the town of Ub – the second biggest producer of quartz sand in Serbia. The assets of Serboquartz SC were acquired on 27.05.2004, at a tender organized by the Commercial Court in the town of Zaychar, after the company had been wound up. Through these acquisitions Kaolin expanded its quartz sand markets geographically to become the main supplier of this product on the territory of Serbia, Bosnia, Herzegovina and Macedonia, and is actively developing its markets in Croatia, Slovenia and Hungary.
From 2004 to 2006 Kaolin incorporated ‘Kaolin Endustriel Mineraler’ (Turkey), ‘Kaolin Mineral’ (Romania), ‘Promineral’ (Ukraine), and ‘Kaolin Azov’ (Ukraine). Through its subsidiaries Kaolin strives to expand its business and to develop its production activities in these countries.
