Competencies of the General Meeting
The General Meeting of the Shareholders (GMS):
1. Amends the Company’s Articles of Association;
2. Increases and decreases the share capital;
3. Resolves on transformation and dissolution of the Company;
4. Elects and recalls the members of the Supervisory Board, assigns the amount of the remuneration, the tantiemmes (bonuses) and the administration bonds of the members of the Supervisory Board;
5. Appoints and dismisses CPA auditors;
6. Approves the annual financial statements as certified by the appointed auditor, decides on the distribution of the profit, on replenishment of the “Reserve” Fund and on dividend payments;
7. Resolves on bond issuance;
8. Appoints the liquidators upon dissolution of the Company, except in the case of insolvency;
9. Relieves from liability the members of the Supervisory Board and of the Management Board;
10. Adopts general guidelines for the development of the Company;
11. Resolves as well on any other issues, conferred upon it and falling within its competencies under the Articles of Association.
